The contract behind every clinical workflow.
What Faurenis is and isn't, how AI output becomes part of your record only after clinician review, and the commercial terms that govern your subscription.
1. Acceptance of these Terms
These Terms of Use ("Terms") are a binding agreement between you — an individual dental professional, or the dental clinic or organisation you represent ("you", "your", "Customer") — and Grandiosa Vision FZCO, a company established in Dubai, United Arab Emirates, trading as "Faurenis" ("Faurenis", "we", "us", "our"). They govern your access to and use of the Faurenis website, web application, mobile companion application, and related services (together, the "Service").
By creating an account, clicking "I accept", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by the Faurenis Privacy Policy, which is incorporated by reference. If you are accepting on behalf of a clinic or organisation, you confirm you have authority to bind that entity, and "you" refers to that entity as well as the individual accepting.
If you do not agree to these Terms, do not use the Service.
2. Definitions
- "Account" means the credentialed access granted to an individual user or clinic under a subscription.
- "AI Output" means any note, chart entry, summary, suggestion, transcript, or other content generated or drafted with the assistance of Faurenis's AI features, before or after clinician review.
- "Clinical Record" means the official patient record maintained by you or your clinic, into which accepted AI Output may be incorporated at your discretion.
- "Customer Data" means all data you or your clinic submit to, or that is generated within, the Service, including patient information, audio recordings, clinical notes, and account/billing information.
- "Documentation" means the help articles, guides, and in-product explanations Faurenis publishes about the Service.
- "Subscription" means the paid or free-tier plan under which you access the Service, as described on the Faurenis pricing page.
3. Eligibility and account registration
The Service is intended for use by licensed dental professionals, dental clinics, and their authorised staff acting in a professional capacity. By registering, you represent that you are at least 18 years old, that any professional licence you hold or claim on behalf of your clinic is valid and in good standing, and that all registration information you provide is accurate and kept up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Multi-factor authentication is required for Owner and Admin roles and we strongly recommend enabling it for every role. Notify us immediately at info@faurenis.ai if you suspect unauthorised access to your account.
A clinic account is administered by the individuals your organisation designates as Owner or Admin. Those individuals control seat assignment, role permissions, and billing for the clinic's Subscription; Faurenis is not responsible for internal disputes over that administration.
4. The Service — what Faurenis is, and is not
Faurenis provides AI-assisted clinical documentation and workflow software for dental practices: an ambient voice scribe that drafts clinical notes from the visit conversation, voice-driven periodontal charting, a clinical copilot that surfaces chart-grounded information with citations, a continuous multi-mode encounter session, document intelligence for scanned forms, treatment-plan drafting, and practice-operations tooling. Availability of specific features depends on your Subscription tier.
Faurenis is a documentation and workflow support tool. It is not a substitute for professional clinical judgment, and no AI Output constitutes a diagnosis, a treatment recommendation, or medical or dental advice. Every AI Output enters the Clinical Record only after a licensed clinician reviews and affirmatively accepts it; nothing generated by the Service becomes part of the official record automatically.
Some capabilities described in our marketing materials or Documentation are in active development and are not available for clinical use. Where a page is marked "Roadmap" or "in controlled development" — for example, the imaging module as of the effective date of these Terms — that feature is not live, carries no availability commitment, and nothing in these Terms should be read as promising a delivery date.
Faurenis complements, and does not replace, your existing practice-management system. Billing, insurance claims, and other functions outside the scope of the Service remain your responsibility and your existing systems' function unless and until a specific integration is agreed in writing.
5. Clinical responsibility and AI-generated content
You remain solely responsible for all clinical decisions, for the content of the Clinical Record, and for compliance with the standards of your profession and applicable law, regardless of any assistance the Service provides. Reviewing and accepting or rejecting AI Output before it enters the Clinical Record is a professional act performed by you or your clinic's licensed staff, not by Faurenis.
AI Output can be incomplete, contain errors, or reflect limitations in the underlying audio, source documents, or models. You must independently verify clinical accuracy before relying on AI Output for patient care or for the Clinical Record. Faurenis disclaims responsibility for clinical decisions made on the basis of AI Output that was not adequately reviewed.
Where the Service captures or processes audio of a patient encounter, you are responsible for obtaining and documenting any consent required under applicable law before recording begins, and for informing patients as your jurisdiction's professional and privacy rules require.
6. Subscriptions, fees, and payment
Paid Subscriptions are billed in advance on a recurring basis (monthly or annual, as selected) at the rates published on the Faurenis pricing page at the time of purchase, or as separately agreed in a signed order form for clinic and enterprise agreements. Fees are stated in EUR and are exclusive of any applicable taxes, which you are responsible for unless we are required by law to collect them.
Payment is processed by our third-party payment processor; providing payment details authorises us to charge your payment method for all fees due, including seat overage beyond the seats included in your plan. Failure to pay may result in suspension of the Service after notice.
Individual plans are month-to-month and may be cancelled at any time, effective at the end of the then-current billing period; no partial-period refund is issued for a mid-period cancellation. Clinic and enterprise agreements are subject to the notice period stated in your order form; upon termination for any reason, we will make your Customer Data available for export in a documented format, consistent with the data-export undertaking described in our Privacy Policy.
We may change Subscription pricing prospectively, with notice before your next renewal; continued use after a price change takes effect constitutes acceptance of the new price for that and future renewal periods.
7. Free access and trials
Faurenis may offer a free plan and, from time to time, trials of paid tiers, each of which requires an account. Free and trial access is provided for evaluation purposes, is subject to usage limits we may change or withdraw at any time, and carries no warranty or service-level commitment beyond what applies to paid Subscriptions under Section 13.
8. Data processing and privacy
Our collection, use, and processing of personal data — including Customer Data you submit and any personal data we collect about you as a user — is described in the Faurenis Privacy Policy, incorporated into these Terms by reference. Where the Service processes patient data as part of your Clinical Record, we act as a data processor on your instructions, under a Data Processing Agreement ("DPA") that forms part of your Subscription; you act as the data controller for that patient data.
You are responsible for having a lawful basis to submit patient data to the Service, and for your own compliance with applicable data-protection and health-privacy law, including obtaining any consents from patients required in your jurisdiction. If you are a HIPAA-covered entity in the United States, a clinic-specific Business Associate Agreement is not yet a standing instrument we execute automatically as part of Subscription sign-up; contact us at info@faurenis.ai before submitting protected health information so we can put the appropriate agreement in place for your clinic first.
9. Acceptable use
You agree not to, and not to permit any user under your account to:
- use the Service in a manner that violates applicable law, including health-privacy, data-protection, or professional-conduct law;
- attempt to bypass, disable, or interfere with any consent, review, or acceptance gate the Service places before AI Output can enter a Clinical Record;
- submit data you do not have the right to submit, or use the Service to process data belonging to a patient who has not been informed as required by applicable law;
- reverse-engineer, decompile, or attempt to extract the underlying models, source code, or training methodology of the Service, except to the extent such restriction is unenforceable under applicable law;
- use the Service to build a competing product, or resell, sublicense, or provide the Service to a third party outside your clinic without our written consent;
- introduce malware, attempt unauthorised access to any account or system, or interfere with the integrity or performance of the Service;
- use outputs of the Service to make an automated final determination materially affecting a patient without the human clinician review the Service is designed to require.
We may suspend access for a violation of this section, with notice where practicable, and without notice where necessary to protect the security or integrity of the Service or other users' data.
10. Your content and data ownership
As between you and Faurenis, you and your clinic retain all ownership rights in Customer Data, including patient records and any Clinical Record content, whether or not it originated from AI Output. We claim no ownership over Customer Data and use it only to provide, secure, and improve the Service for you, as described in the Privacy Policy — never to train models on your clinic's data for the benefit of other customers.
You grant us a limited licence to host, process, transmit, and display Customer Data solely to operate the Service, provide support, and comply with law, for the duration of your Subscription and any post-termination retention period described in the Privacy Policy.
11. Intellectual property
The Service, including its software, design, trademarks (including "Faurenis" and associated logos), and Documentation, is owned by Grandiosa Vision FZCO or its licensors and is protected by intellectual-property law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal clinical and administrative purposes during your Subscription.
If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free licence to use that feedback without restriction or obligation to you.
12. Confidentiality
Each party may receive confidential information of the other in connection with the Service. Each party agrees to protect the other's confidential information with at least the same degree of care it uses for its own confidential information of similar nature, and not to disclose it except to personnel and subcontractors who need it to perform under these Terms and who are bound to confidentiality obligations at least as protective as this section, or as required by law.
13. Service availability, support, and changes
We aim to provide a reliable, continuously available Service but do not guarantee uninterrupted access; planned maintenance will be communicated in advance where practicable. Security-relevant incidents are triaged under our published incident-response targets, described on the Trust Centre.
We may modify, add to, or discontinue features of the Service over time. We will give reasonable notice before a change that materially reduces the functionality of a paid Subscription tier you are actively using; feature changes to free-tier or roadmap functionality may occur without notice.
14. Warranties and disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI Output will be accurate, complete, or free of error, or that the Service will meet your specific clinical or regulatory requirements. Nothing in this section limits any warranty that cannot lawfully be excluded.
Roadmap and "in controlled development" features are provided, if and when made available for preview, entirely without warranty of any kind, and may be withdrawn at any time.
15. Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
16. Indemnification
You agree to indemnify and hold Faurenis harmless from third-party claims, damages, and reasonable costs arising from your breach of these Terms, your violation of applicable law, or your use of the Service in a manner inconsistent with Section 9 (Acceptable Use), including claims relating to Customer Data you submitted without a lawful basis to do so.
17. Term, suspension, and termination
These Terms remain in effect for as long as you maintain an account or active Subscription. Either party may terminate a month-to-month Subscription as described in Section 6; clinic and enterprise agreements terminate as set out in the applicable order form.
We may suspend or terminate your access immediately if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, if required to do so by law, or if continued access would pose a security risk to the Service or other customers.
On termination, your right to access the Service ends, and Customer Data is handled as described in the Privacy Policy's retention and deletion section, including the export window described there.
18. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Croatia, without regard to its conflict-of-laws principles. Subject to any mandatory consumer-protection or data-protection forum that cannot be contractually displaced, the parties submit to the exclusive jurisdiction of the competent courts of Zagreb, Croatia for any dispute arising out of or relating to these Terms or the Service.
Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation between designated representatives for a period of thirty (30) days.
19. General provisions
- Entire agreement — these Terms, together with the Privacy Policy, any DPA, and any signed order form, constitute the entire agreement between you and Faurenis regarding the Service, superseding any prior agreements on the same subject.
- Severability — if any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
- Assignment — you may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.
- Force majeure — neither party is liable for a delay or failure to perform caused by circumstances beyond its reasonable control.
- Notices — legal notices to us should be sent to info@faurenis.ai; notices to you may be sent to the email address on your account.
- Changes to these Terms — we may update these Terms from time to time; material changes will be notified in advance through the Service or by email, and continued use after the effective date of a change constitutes acceptance.
